TeamPulse Online Terms and Conditions of Sale

The present terms and conditions of sale are concluded on the one hand by TeamPulse, a company with a capital of 330 000 euros, whose registered office is at Saint-Chamond (42400), 18 rue Laurent Charles, registered in the Saint Etienne Trade and Companies Register under number 849065545, hereinafter referred to as TeamPulse, and on the other hand, by any individual or legal entity wishing to proceed with a purchase via TeamPulse's website, hereinafter referred to as the buyer.

Article 1. Purpose

The present conditions of sale aim to define the contractual relations between TeamPulse and the buyer and the conditions applicable to any purchase made through the TeamPulse website, whether the buyer is a professional or consumer.
The acquisition of a good or service through this site implies unreserved acceptance by the buyer of these conditions of sale.
These conditions of sale shall prevail over any other general or specific conditions not expressly approved by TeamPulse.
TeamPulse reserves the right to modify its conditions of sale at any time. In this case, the applicable conditions will be those in force at the date of the order by the buyer.

Article 2. Characteristics of the goods and services offered

The products and services offered are those listed in the catalogue published on the TeamPulse website.
These products and services are offered while stocks last.
Each product is accompanied by a description drawn up by the supplier; for some of them, the buyer may have access to the supplier's documentation.
The photographs in the catalogue are as accurate as possible but cannot guarantee a perfect similarity with the finished product, particularly with regard to colours.

Article 3. Prices

The prices listed in the catalogue are inclusive of VAT in euros and take into account the VAT applicable on the date of the order; any change in the rate may be passed on to the price of the products or services.
TeamPulse reserves the right to modify its prices at any time, it being understood that the price appearing in the catalogue on the day of the order will be the only one applicable to the buyer.
The prices quoted include the cost of processing the order, but do not include the cost of transport and delivery.

Article 4. Geographical area

The online sale of products and services presented on the site is reserved for buyers who reside in Europe, in the French overseas departments and territories or in Monaco and for deliveries required in these geographical areas.

Article 5. Orders

The buyer, who wishes to purchase a product or a service, must
– fill in the registration form with all the details requested;
– validate the order after having checked it;
– make the payment in accordance with the conditions laid down;
– confirm the order and payment.
Confirmation of the order implies acceptance of these terms and conditions of sale, acknowledgement of having full knowledge of them and waiver of the right to invoke one's own terms of purchase or other conditions.
All the data provided and the recorded confirmation will be considered as proof of the transaction. The confirmation will be worth signature and acceptance of the operations carried out.
TeamPulse will communicate by e-mail the confirmation of the registered order.

Article 6. Withdrawal

Buyers, non-professional individuals, have a withdrawal period of seven days from the delivery of their order to return the product to TeamPulse for exchange or reimbursement without penalty, with the exception of the return costs. This right of withdrawal cannot be exercised for orders of custom-made or personalized products.

Article 7. Terms of payment

The price is payable at the time of ordering. Payments will be made by credit card, bank transfer or cheque. Payments made by credit card will be made via the secure Stripe or Paypal systems, which use the SSL (Secure Socket Layer) protocol so that the information transmitted is encrypted by software and no third party can gain knowledge of it during transport on the network.
The buyer's account will be debited after validation of the order.
An invoice showing VAT is available at any time in the buyer's account, or on request.

Article 8. Deliveries

Deliveries are made to the address indicated in the order, which can only be within the agreed geographical area.
The risks are borne by the Buyer from the moment the products leave TeamPulse's premises. In case of damage during transport, a justified protest must be made to the carrier within three days of delivery.
Delivery times are given as an indication only; if they exceed thirty days from the order, the sales contract may be cancelled and the buyer reimbursed.

Article 9. Guarantee

All products supplied by TeamPulse benefit from the legal guarantee provided by articles 1641 and following of the Civil Code.
In case of non-conformity of a sold product, it can be returned to TeamPulse who will take it back, exchange it or refund it.
All claims, requests for exchange or refund must be made by post to the following address TeamPulse, 18 rue Laurent Charles, 42400 Saint-Chamond, France within thirty days of delivery.

Article 10. Responsibility

TeamPulse, in the online sales process, is only bound by an obligation of means; it cannot be held liable for any damage resulting from the use of the Internet network such as loss of data, intrusion, viruses, breakdown of service, or other involuntary problems.

Article 11. Intellectual property

All elements of the TeamPulse website are and remain the exclusive intellectual property of TeamPulse.
No one is authorised to reproduce, exploit, rebroadcast, or use for any purpose whatsoever, even partially, elements of the site, whether software, visual or sound.

Article 12. Personal data

In accordance with the law relating to data processing, files and freedoms of 6 January 1978, information of a personal nature relating to purchasers may be subject to automated processing.

Buyers may object to the disclosure of their personal data by notifying TeamPulse. Similarly, users have the right to access and rectify data concerning them, in accordance with the law of 6 January 1978.

Article 13. Archiving - Evidence

TeamPulse will archive invoices on a reliable and durable medium constituting a faithful copy in accordance with the provisions of article 1348 of the Civil Code.
TeamPulse's computerized records will be considered by the parties as proof of communications, orders, payments and transactions between the parties.

Article 14. Dispute resolution

These online sales conditions are subject to French law.
In the event of a dispute, jurisdiction is attributed to the courts of Saint-Etienne (42 - France), notwithstanding multiple defendants or the introduction of third parties.
